What this is
This is a private tool the firm uses to run its investing and advisory work. Access is by invitation. Founders and companies we work with reach it through portal accounts we create and through links we send by email. It is not a public product and there is no way to sign up for it on your own.
Your access
Portal accounts belong to one person. Keep the password to yourself.
The links we send for scheduling, signing, reporting, surveys, and events carry their own access. Anyone holding one of those links can act on it, so treat them the way you would treat a password. Do not forward them or post them anywhere. Tell us at deals@hadleycap.com if a link reaches someone it should not have.
Acceptable use
Use this system for the work between us. Do not try to reach records that are not yours, probe or interfere with the service, upload malicious files, or use the system to break the law or someone else's rights.
What you submit
You keep ownership of what you send us. By sending it, you give Hadley Point Capital the right to store it, review it, and use it internally to evaluate an opportunity, run the relationship, and meet our reporting obligations, as described in the Privacy Policy.
Submissions should be accurate and complete in the respects that matter. We rely on them.
Confidentiality
We handle what you submit as described in the Privacy Policy. Any confidentiality obligation between us is whatever the parties agree separately in writing. Nothing on this page creates one.
No advice, no offer, no commitment
Nothing in this system is investment, legal, tax, or accounting advice. Nothing here is an offer to buy or sell a security or a solicitation of one. Nothing here, including anything the system generates or any stage a record sits in, is a commitment to invest or to continue a discussion.
Recording
When a notetaker bot joins a call, the call is recorded and transcribed, and the bot shows up in the participant list. Details are in the Privacy Policy. If you would rather not be recorded, tell us and we will remove the bot.
Electronic signatures
When you sign a document through this system, you agree to transact electronically and you intend your electronic signature to be legally binding, with the same effect as a signature on paper. We keep an audit trail of the signing, including timestamps and IP addresses.
Availability and warranties
The service is provided as is. We do not warrant that it will be uninterrupted, available at any particular time, or free of errors, and we disclaim implied warranties to the extent the law allows.
Limitation of liability
To the extent the law allows, Hadley Point Capital is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of the use of this system.
Ending access
We may suspend or end access at any time, including when a relationship ends or when a link or account is being misused.
Governing law
Pennsylvania law governs these terms and any dispute arising from them, without regard to conflict of laws rules.
Changes
We will update this page when the terms change, and the effective date at the top will move with it. Continuing to use the system after a change means you accept the updated terms.
